1. Acceptance of Terms

By creating an account, accessing, or using the Lone Star HTM platform and services (collectively, the "Services"), you agree to be bound by these Terms of Service and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Lone Star HTM.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Lone Star HTM provides a platform for Healthcare Technology Management professionals in Texas to:

• Connect with other HTM professionals through chapter memberships
• Register for and attend events, workshops, and educational sessions
• Access articles, resources, and educational materials
• Participate in member directories and networking opportunities
• Manage memberships and make payments for dues and events

3. Account Registration

To access certain features of the Services, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Membership and Payments

4.1 Membership Types

Lone Star HTM offers various membership levels including free Lonestar membership and paid chapter memberships. Each membership type has specific benefits and requirements as described on our membership page.

4.2 Payment Terms

For paid memberships and event registrations:

• All prices are in U.S. dollars unless otherwise stated
• Payment is due at the time of registration or membership purchase
• Memberships are annual and will automatically renew unless cancelled
• We use secure third-party payment processors to handle transactions

4.3 Refund Policy

Membership fees are refundable within 30 days of purchase. Event registration refunds are available up to 7 days before the event date. After these periods, refunds are at our discretion. To request a refund, please contact us at [email protected].

5. User Conduct

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Post false, misleading, defamatory, or fraudulent content
• Harass, threaten, or intimidate other users
• Impersonate any person or entity
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Use the Services for any commercial solicitation without approval
• Collect or harvest user information without consent
• Post spam, chain letters, or pyramid schemes

6. User Content

6.1 Content Ownership

You retain ownership of content you submit to the Services, including articles, comments, and profile information ("User Content"). By submitting User Content, you grant Lone Star HTM a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with providing the Services.

6.2 Content Moderation

We reserve the right to review, moderate, and remove any User Content that violates these Terms or is otherwise objectionable. Article submissions are subject to editorial review before publication.

7. Intellectual Property

The Services and their original content (excluding User Content), features, and functionality are owned by Lone Star HTM and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Services without express authorization.

8. Third-Party Links and Services

Our Services may contain links to third-party websites or services that are not owned or controlled by Lone Star HTM. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible for any damage or loss caused by your use of any third-party content, goods, or services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LONESTAR HTM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES.

11. Indemnification

You agree to defend, indemnify, and hold harmless Lone Star HTM and its officers, directors, employees, and volunteers from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. You may delete your account at any time through your account settings or by contacting us.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Travis County, Texas.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised terms.
